Advisory activities in project financing can be divided into two phases: the first (Financial Structure Definition) sets objectives for the second (Negotiation / management of the loan agreement).

Financial modelling

We prepare and update the financial model to outline the exact financial, economic, profile of a project and to assess the feasibility of financing the initiative on a limited recourse basis.

Analysis of risks related to the project and identification of potential mitigants (e.g., contractual adjustments), followed by sensitivity analyses aimed at testing the adequacy and resilience of the financial structure in the event that the underlying assumptions of the PEF deteriorate.

We conduct preliminary market soundings to gauge the appetite of banks and/or other types of lenders for the project.

Negotiation / management of the loan agreement

Information Memorandum and Term Sheet

We prepare the information memorandum and the preliminary term sheet.

We maintain continuous interaction with lenders and, during the due diligence phase, with their project advisors, including legal, technical, insurance and tax consultants.

We negotiate and finalize the contract and the security package, with the support of the borrower’s legal advisors.

We provide support up to the financial close of the loan and, if requested, post-closing support (dynamic management of the loan agreement, handling of significant events and waiver requests).
